Both materials are identical, the mesh is the exact same. the smoothing groups are perfectly fine.

the materials are assigned to the meshes that are below them.

For some reason if i take the Targa normal map into photoshop and resave as a targa it wants to show seems but if i use the one 3ds max created it works perfectly fine.

What option am i not turning on or off when re-saving in photoshop.

also looks like your green channel is flipped.

tried flipping both channels individually and swapping them still gives me the seem.

Yeah that really does look like a flipped green channel. Have you tried flipping the green channel in photoshop, and not the "flip green" option in max? Could we see the normal map?

Also, this should be in Technical Talk.

Do the 2 maps look the same ? Probably not ^^ Maybe you have some wrong color profile in photoshop or proof colors on ? (ctrl+Y)
